      National Stock Exchange of India Reduces IPO Size Amid Investor Concerns

      The National Stock Exchange of India (NSE) has announced a reduction in its initial public offering (IPO) size, responding to investor feedback regarding its valuation. The exchange has cut the number of shares offered from 148.9 million to 126.44 million, a decrease of approximately 15%. This adjustment lowers the stake being sold from about 6% to 5.1% of NSE's equity capital, resulting in a revised implied valuation of around $47 billion, down from the initial estimate of $55 billion.

      Investor concerns primarily stem from regulatory scrutiny over the derivatives market, where NSE holds the position of the largest derivatives exchange globally by trading volume. Feedback during the roadshow in cities such as Hong Kong, London, and New York indicated that investors were hesitant to accept the original price range of ₹2,000 to ₹2,100 per share. The new price band has been set between ₹1,700 and ₹1,785 per share, reflecting a discount due to potential regulatory changes that could impact growth in the derivatives segment.

      The Securities and Exchange Board of India (SEBI) approved the IPO on September 4, 2026, after NSE submitted an updated draft prospectus earlier in June. The subscription period for the IPO is scheduled from September 17 to September 21, with a potential listing date of September 24. The entire transaction is structured as an offer-for-sale, meaning that the proceeds will go to existing shareholders rather than providing fresh capital to the exchange itself, which may limit operational benefits for new investors.
