      CoreWeave Announces $3 Billion Convertible Senior Notes Offering for AI Expansion

      CoreWeave, a cloud computing company specializing in artificial intelligence (AI), has announced plans to issue $3 billion in convertible senior notes due in 2033. This move comes just months after the company completed a $4 billion offering in April 2026, indicating a strong demand for capital to support its AI infrastructure expansion.

      The new offering includes an option for initial purchasers to acquire an additional $500 million. The convertible senior notes will be secured by certain subsidiaries of CoreWeave and will pay interest on a semi-annual basis. Upon conversion, the company has the flexibility to settle in cash, shares of Class A common stock, or a combination of both. Proceeds from the offering will be used for capped call transactions to mitigate dilution when the notes convert into equity, as well as for general corporate purposes.

      As of mid-August 2026, CoreWeave has secured over $25 billion in net new customer commitments and increased its contracted power capacity from 3.7 to 4.2 gigawatts. Despite this growth, the company remains unprofitable and is accumulating debt at a rapid pace. The convertible notes provide a less burdensome repayment option compared to traditional debt, as they can convert into equity, thereby reducing cash repayment obligations.
