      SEC and CFTC Establish Clear Classification for Crypto Assets

      The U.S. Securities and Exchange Commission (SEC) and the Commodity Futures Trading Commission (CFTC) have released a joint interpretive framework that categorizes various cryptocurrencies and stablecoins under federal securities laws. Released on March 17, 2026, the framework classifies Bitcoin, Ether, Solana, XRP, and Cardano as digital commodities, explicitly stating that these assets are not considered securities. The new regulations will take effect on March 23, 2026, marking a significant shift in the regulatory landscape for cryptocurrencies.

      The framework introduces a five-category taxonomy for crypto assets, distinguishing between digital commodities and securities. While digital commodities like BTC and ETH are exempt from SEC oversight, tokenized versions of traditional financial instruments, such as on-chain stocks and bonds, are classified as securities and will be subject to full SEC regulation. Additionally, payment stablecoins issued under the GENIUS Act of 2025 are also excluded from the definition of securities, providing a clear regulatory path for compliant stablecoin issuers.

      SEC Chairman Paul S. Atkins emphasized that this release provides much-needed clarity for the cryptocurrency industry, while CFTC Chairman Michael S. Selig highlighted the importance of harmonizing regulatory approaches for the sector's growth. The previous regulatory environment, which often classified most cryptocurrencies as securities, led to uncertainty and enforcement actions against various projects. The new taxonomy resolves longstanding questions regarding the status of assets like XRP, SOL, and ETH, confirming them as commodities.

      The framework also addresses the interaction between investment contracts and digital commodities, allowing tokens to transition from securities to commodities once issuer obligations are fulfilled. This provision offers a clearer roadmap for decentralized finance (DeFi) projects and token issuers, acknowledging the evolution of tokens from fundraising tools to functional assets within decentralized networks. However, the longevity of this framework may be subject to future regulatory changes, as interpretive releases do not carry the same legal weight as formal rulemaking.
