Fairmint CEO Warns of Potential Crisis in Tokenized Stocks

Joris Delanoue, CEO of Fairmint, has raised concerns that the burgeoning market for tokenized stocks may face a crisis reminiscent of the 1960s paper crisis that nearly crippled Wall Street. During that period, trading volumes on the New York Stock Exchange surged from approximately 5 million shares to over 12 million daily, overwhelming the existing back-office infrastructure and leading to widespread settlement failures and brokerage closures. Delanoue argues that the current private equity markets exhibit similar vulnerabilities, including fragmentation and reliance on outdated systems.

Delanoue emphasizes that the 1960s crisis was not merely a result of increased trading demand but rather a failure of the systems to keep pace with that demand. He warns that if tokenized equities continue to depend on traditional cap table management and manual compliance checks, they may inherit the weaknesses of the old model without realizing the efficiencies promised by blockchain technology. This could result in tokenization being merely a superficial upgrade rather than a fundamental improvement.

Fairmint aims to address these issues by operating as the first fully onchain-native SEC-registered transfer agent, managing ownership records directly on a blockchain. The company's Open Cap Table Protocol has already facilitated over $1.6 billion in equity transactions across more than 180 issuers and funds. Delanoue's influence in the blockchain space has grown, as he was recently elected General Director of the Canton Foundation, which includes leaders from major financial institutions like DTCC and HSBC.

The urgency of Delanoue's warnings is underscored by historical context; even a modest increase in trading volume can expose critical infrastructure gaps. Fairmint believes that fully onchain solutions, where equity representation and compliance logic are integrated within a single programmable layer, will prove more effective than hybrid models that attempt to merge blockchain with traditional systems.
