      OpenAI Transitions to Public Benefit Corporation Amid Legal Proceedings

      OpenAI co-founder Greg Brockman has outlined the organization's significant transformation from its original nonprofit model to a public benefit corporation (PBC). This shift, which began with the establishment of OpenAI LP as a capped-profit subsidiary in March 2019, aims to attract conventional equity funding necessary for the ambitious goal of developing artificial general intelligence (AGI). Brockman emphasized that relying solely on donations was insufficient for the scale of investment required.

      On December 27, 2024, OpenAI announced its conversion to a Delaware Public Benefit Corporation, allowing it to pursue profit while committing to a public benefit. This change removes the previous cap on investor returns, making the company more appealing to institutional investors and potentially increasing its valuation, which has already reached hundreds of billions in prior funding rounds.

      Brockman's testimony during a May 2026 lawsuit involving Elon Musk revealed that his personal stake in OpenAI is valued at nearly $30 billion. He defended the restructuring as a necessary step to ensure the organization's mission can be realized effectively. As of mid-2026, OpenAI operates under a dual structure, with the nonprofit OpenAI Foundation overseeing the for-profit OpenAI Group PBC.
