      AMC and Robinhood Engage in Dispute Over Tokenized Stock Offerings

      AMC Entertainment CEO Adam Aron and Robinhood CEO Vlad Tenev are embroiled in a public dispute regarding the legality of tokenized versions of AMC shares. The conflict began on September 3, when Aron criticized Robinhood for offering these tokenized shares to investors outside the United States, labeling them as 'synthetic equity' and asserting that they were unauthorized and potentially illegal. He expressed concerns that these tokens undermine the rights of AMC's original shareholders and disrupt the company's ability to raise capital.

      In response, Tenev defended the legality of Robinhood's token offerings on September 9, with the company's Chief Legal Officer, Dan Gallagher, challenging AMC to take legal action if they disagreed. Robinhood's tokenized shares are issued through an affiliate based in Jersey, a British Crown dependency, and are structured as debt securities under Regulation S, which allows offerings to non-U.S. persons without SEC registration. Each token is backed 1:1 by actual AMC shares, providing economic exposure to the stock's price without granting voting rights or direct ownership claims.

      This dispute raises significant questions about the control over the tokenization of public company stocks. The outcome could determine whether companies have the right to veto third-party tokenization efforts. If regulators side with Aron, it may establish that public companies must be involved in the tokenization process. Conversely, if Robinhood's approach is upheld, it could pave the way for financial intermediaries to tokenize public equities without issuer consent, complicating the regulatory landscape for such financial products.
