Robinhood CEO Advocates for Non-Veto Power Over Tokenized Stocks

Vlad Tenev, the CEO of Robinhood, has expressed that the company should not possess veto power over tokenized stock products, as long as these products do not modify shareholder rights, issuer obligations, or the official stock register of the company. Tenev articulated his views on the X platform, emphasizing that the necessity for issuer participation hinges on whether the tokenized product alters the rights associated with the underlying stock or imposes new obligations on the company and its transfer agents.

If a tokenized product creates an independent financial instrument that references freely transferable shares without affecting the issuer's rights or obligations, Tenev argues that issuer consent is not necessary. He highlighted that Robinhood's Stock Tokens operate under a third-party structure, where independently issued instruments are backed by the underlying stock on a 1:1 basis, allowing users to gain economic exposure to stocks and exchange-traded funds (ETFs) without impacting the issuer's equity structure or associated rights.

Tenev's comments come in the wake of criticism from AMC Entertainment CEO Adam Aron, who on September 4, 2026, stated that AMC has no affiliation with Robinhood's tokenized stock products and indicated that the company would seek legal counsel to review these offerings. Tenev countered that transitioning to a blockchain-based system should not grant issuers a veto power that they do not hold in traditional markets.
