      Nigeria’s SEC Wants N3 Billion From Forex Brokers and…

      Nigeria's Securities and Exchange Commission published draft rules on 1 September that would require market-maker forex broker-dealers to hold N3 billion ($2 million) in paid-up capital, cap retail leverage on crypto CFDs at 1:2, and ban binary options outright. The framework also reaches offshore brokers serving Nigerian residents.

      Capital Floors That Would Price Out Most Current Operators

      The proposed minimum paid-up capital varies by business model: N3 billion for B-book (market-maker/principal) broker-dealers, N2 billion for STP and ECN brokers, and N5 billion for technology and trading-platform providers. Individual introducing brokers face a N30 million floor; corporate ones, N150 million. By comparison, most offshore brokers currently active in Nigeria operate with a fraction of those amounts under lighter-touch jurisdictions.Retail leverage caps follow a tiered structure: 1:400 on major currency pairs, 1:300 on minors, exotics, commodity CFDs, and equity indices, and 1:2 on cryptocurrency CFDs. Professional clients may access up to 1:1000, subject to enhanced risk-management requirements.The 1:2 crypto cap matches ESMA's EU retail limit, in effect since 2018, while the UK FCA bans retail crypto CFDs entirely. The cap sharply restricts leveraged crypto speculation for retail accounts relative to the higher ratios currently offered by offshore brokers active in Nigeria.

      Binary Options Banned, Finfluencer Marketing Restricted

      The draft bans binary options for retail traders entirely and outlaws volume-linked deposit bonuses, trading rebates that encourage excessive churning, and unfunded guaranteed stop-loss mechanisms. Brokers are prohibited from misrepresenting their execution architecture. Unapproved influencer marketing is banned, with an explicit prohibition on executives and promoters displaying luxury lifestyles when the imagery implies wealth generated through retail trading.Client funds must be held in segregated accounts at CBN-licensed banks with daily reconciliation. Records must be retained for a minimum of seven years. The proposed minimum penalty for breaching negative-balance protection or retail leverage limits is N1 million per affected client.

      Offshore Brokers and the Six-Month Compliance Clock

      The framework applies to any offshore broker soliciting Nigerian residents, advertising domestically, or accepting local retail deposits without a Category-A licence. Non-compliant operators face blacklisting, administrative interdiction, and criminal prosecution under the Investment and Securities Act 2025. Licensed firms that host Nigerian clients must maintain a fully operational local office, employ at least two directors, with the CEO and Chief Compliance Officer resident in Nigeria, and ensure at least 30% of equity is held by Nigerian citizen directors.Existing operators have three months to submit registration applications and six months to achieve full compliance. The coverage of the draft did not carry a public comment deadline; investors and brokers should check the SEC's published document directly to confirm whether a consultation window applies.Currency pairs involving the naira are prohibited without written SEC approval, a provision that extends the Central Bank of Nigeria's existing controls into the CFD space. The draft also mandates a minimum 99.5% platform uptime during trading hours and requires multi-factor authentication, encryption, and regular penetration testing.The draft rules are not yet in force, but the six-month compliance window starts from the date of enactment. Nigerian retail traders using offshore platforms should verify whether their broker intends to apply for a local licence. The 1:2 crypto leverage cap would make leveraged crypto CFD trading effectively unviable for retail accounts, and the binary options ban removes that product class entirely. Brokers operating without the proposed capital floors face blacklisting and prosecution once the rules are finalised.
