      What Does Coinbase Mean by a Tokenized Stock?

      Coinbase CEO Brian Armstrong is drawing a sharper distinction between tokenized equities backed by real securities and products that merely reproduce stock-price exposure through derivatives or debt instruments.Armstrong said Monday that Coinbase has established what he considers the appropriate model for tokenized equities: real underlying shares held against blockchain tokens, with redemption rights, dividend economics and voting rights expected to form part of the package.The argument matters because "tokenized stock" increasingly describes products with very different legal structures. A token backed by an Nvidia share, a debt instrument tracking Nvidia and a perpetual future linked to Nvidia can all provide similar directional exposure while giving investors very different rights if dividends are paid, an intermediary fails or the product must be redeemed.Coinbase's stock tokens are issued on Base under the B20 standard and backed 1:1 by underlying securities held through regulated custody in a bankruptcy-remote structure. The first products, covering Nvidia, Apple, Meta Platforms and Alphabet, launched in August for eligible investors outside the U.S. under Regulation S.The tokenization structure operates from Abu Dhabi under Financial Services Regulatory Authority oversight in Abu Dhabi Global Market.

      Do Coinbase Token Holders Actually Own the Shares?

      The backing is real, but the ownership structure is more complicated than holding an ordinary share directly through a brokerage account.Coinbase's documentation limits primary creation and redemption to KYC-approved institutional partners and authorized participants. Its offering materials also distinguish between vested and unvested holders, with some redemption and voting rights available only after investors complete the required verification and eligibility process.A vested holder seeking redemption may also need a brokerage or bank account capable of receiving the resulting shares or proceeds. Geographic restrictions, sanctions checks and anti-money laundering requirements continue to apply.That means holding a Coinbase stock token in a wallet does not automatically give every investor an unconditional right to demand delivery of the corresponding conventional share.Dividend treatment is also different. Cash distributions from the underlying securities are generally reinvested after applicable taxes and fees, with the benefit reflected through an onchain multiplier rather than simply appearing as a cash dividend.

      Investor Takeaway

      The tokenized-equity market is dividing into products backed by real shares, synthetic instruments that track share prices and issuer-recognized securities recorded directly onchain. Those structures may behave similarly during normal trading but can produce very different outcomes around dividends, voting, redemption and intermediary failure.

      How Do Coinbase, Kraken and Robinhood Differ?

      Coinbase is not alone in using real securities as backing. Kraken's xStocks are also backed 1:1 by underlying equities held in custody, but Kraken says holders do not receive voting rights or a legal claim on the underlying company shares. Dividend economics are instead reflected through token value or balances.Robinhood's European stock tokens use another model. They are tokenized debt securities that provide economic exposure to stocks and ETFs without giving investors legal or beneficial ownership rights against the companies themselves.Other exchanges are expanding further into derivatives. Binance has developed several forms of equity exposure, including securities products, options, tokenized instruments and equity perpetual futures. Its BYD and Lenovo perpetuals provide leveraged price exposure without transferring ownership of the underlying companies. OKX has also expanded equity-linked derivatives, while Gate has entered U.S. stock options.These differences are increasingly relevant to regulators. The U.S. Securities and Exchange Commission in January separated tokenized securities into products issued by or on behalf of the original securities issuer and those created by unaffiliated third parties.Coinbase's Apple or Nvidia tokens fall into the second category. Real shares sit behind the tokens, but Apple and Nvidia did not issue the blockchain instruments themselves.

      Could Issuer-Sponsored Shares Become the End State?

      Galaxy Digital offers a useful contrast. Its tokenized GLXY shares are issuer-sponsored, SEC-registered common stock. Because Galaxy itself recognizes the blockchain shares as its equity, the tokens carry the same legal and economic rights as conventionally held shares.That model provides a cleaner connection between the blockchain asset and the issuing company, but it is much harder to scale. Coinbase can create wrappers around multiple listed companies without waiting for each issuer to rebuild its shareholder infrastructure. An issuer-sponsored model requires cooperation from every company involved.The competition may therefore come down to legal directness versus distribution speed.Armstrong is effectively arguing for a minimum standard: if a platform markets something as a tokenized stock, there should be an identifiable security behind it and a credible mechanism for passing the economics of that security to the token holder.That still leaves a harder question. Investors and regulators must decide whether a claim on shares held through a third-party custody and tokenization structure is sufficient, or whether genuine tokenization ultimately means the public company itself recognizes blockchain-held shares directly.If issuer-sponsored equity eventually becomes the preferred model, today's fully backed wrappers may prove less a final destination than an intermediate stage between traditional brokerage ownership and securities that legally exist onchain from issuance onward.
