      Blackstone, Brookfield, and KKR Secure $16 Billion Pipeline Deal in Kuwait

      Blackstone, Brookfield Asset Management, and KKR have finalized a $16 billion lease-and-leaseback agreement with Kuwait Petroleum Corporation and its subsidiary, Kuwait Oil Company. This transaction, known as Project Peregrine, marks the largest foreign direct investment in Kuwait's history, granting the firms usage rights to the country's extensive crude oil pipeline network.

      The agreement involves a 20.5-year lease of 13 pipelines spanning approximately 320 kilometers. Each firm holds an equal one-third share of a 49% stake in a newly formed joint venture, while Kuwait Oil Company retains 51% ownership and operational control. This structure allows Kuwait to maintain strategic decision-making while securing significant capital for infrastructure expansion.

      The deal is notable for its use of insurance capital, with the three firms leveraging their insurance affiliates to fund the investment. Blackstone, Brookfield, and KKR have developed substantial insurance operations over the past decade, positioning them to match long-term liabilities with yield-generating assets like the pipeline lease. The initial cash payment to Kuwait Oil Company was $7.85 billion, with further returns structured through a volume-based tariff model tied to crude oil flow.

      Project Peregrine not only addresses Kuwait's infrastructure bottlenecks but also sets a precedent for future investments in oil infrastructure across the Middle East. The success of this venture will depend on crude oil throughput volumes over the next two decades, as returns are directly linked to Kuwait's production and export levels.
